Unless otherwise stated, all definitions used in this announcement shall carry the same meaning as defined in the announcements dated 13 April 2016, 20 April 2016 and 26 May 2016 in relation to the Proposals.

We refer to the announcements dated 13 April 2016, 20 April 2016 and 26 May 2016 in relation to the Proposals.

On behalf of the Board, AmInvestment Bank wishes to announce that Bursa Securities had, vide its letter dated 21 June 2016 (which was received on 23 June 2016), approved the following:-

1. listing of up to 88,289,225 Bonus Shares to be issued pursuant to the Proposed Bonus Issue; and
2. listing of such number of additional new ordinary shares of RM1.00 each, involving up to 15% of the issued and paid-up share capital of YNH (excluding treasury shares), to be issued pursuant to the exercise of the share options and/or grant under the Proposed ESS.

The approval granted by Bursa Securities for the Proposed Bonus Issue and Proposed ESS is subject to the following conditions:-

1. YNH and AmInvestment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue;
2. YNH and AmInvestment Bank to inform Bursa Securities upon the completion of the Proposed Bonus Issue;
3. YNH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed;
4. YNH and AmInvestment Bank are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a), 6.35(2)(b) and 6.35(4) of the Listing Requirements;
5. AmInvestment Bank is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation;
6. YNH is required to furnish Bursa Securities on a quarterly basis a summary of the total number of ESS shares listed as at the end of each quarter together with a detailed computation of the listing fees payable;
7. certified true copy of the resolution passed by the shareholders in a general meeting approving the Proposals; and
8. to incorporate Bursa Securities’ comments made in the circular to shareholders.
