Description | YNH PROPERTY BHD ("YNH" OR "COMPANY") - SUPPLEMENTAL AGREEMENT TO SALE AND PURCHASE AGREEMENT DATED 20 JANUARY 2025 FOR DISPOSAL OF AEON MALL SERI MANJUNG |
Reference is made to the Company’s announcements on 21 January 2025 and 7 February 2025 (“Earlier Announcements”) in relation to the disposal of Aeon Mall Seri Manjung. Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.
The Board wishes to announce that KSB and YNHH, both the wholly-owned subsidiary of the Company and RHBT (as trustee of Sunway REIT) had on 18 April 2025 mutually agreed to enter into a Supplemental Agreement (“SA”) to the SPA dated 20 January 2025 for the following purpose:-
(i) extending the Conditional Period under the SPA dated 20 January 2025 for an additional period of four (4) months following the expiration of the Conditional Period, such that the Conditional Period shall expire on 20 August 2025 or such further extended period or periods, as the Vendor and the Purchaser may mutually agree; and
(ii) formalizing and incorporating the Vendor’s undertaking to fulfil the Vendor’s Additional Obligations as stated below, (hereinafter referred to as the “Vendor’s Additional Obligations”) prior to the Purchaser’s obligation to remit the Balance Purchase Price under the SPA to the Stakeholders. Upon satisfaction of the Vendor’s Additional Obligations as specified herein, the payment terms and conditions outlined in the SPA pertaining to the remittance of the Balance Purchase Price shall be modified accordingly:-
(a) The Vendor shall furnish the Purchaser with the updated Certificate of Fitness for twenty three (23) lifts and escalators in the Property. (b) The Vendor shall furnish the Purchaser with the updated Certificate of Registration for the licence to operate the generator set in the Property. (c) The Vendor shall furnish the Purchaser with the updated fire certificate in the Property.
Save as disclosed above, all other terms of the SPA shall remain unchanged and are in full force and effect.
