Reference is made to the Company’s announcements on 17 November 2022, 31 January 2023, 9 February 2023, 1 March 2023, 4 April 2023, 3 July 2023 and 3 January 2024 (“Earlier Announcements”) and the Company’s circular to its shareholders dated 10 February 2023 (“Circular”) in relation to the Disposals. Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and Circular.

On behalf of the Board, AmInvestment Bank wishes to announce that D’Kiara Place and ALX Asset had on 26 January 2024, entered into a Deed of Termination to terminate the 163 Retail Park SPA with effect from 26 January 2024 as the Proposed 163 Retail Park Disposal has yet to be completed to date. Following thereto, D’Kiara Place shall be at liberty to dispose of and/or otherwise deal with 163 Retail Park in whatever D’Kiara Place shall think fit without reference to ALX Asset.

D’Kiara Place and ALX Asset agree that, there are no outstanding fees, charges, costs and/or expenses due or payable by or to any of the parties to the 163 Retail Park SPA. All costs arising from and/or incidental to the preparation, execution and completion of the abovemetioned Deed of Termination, including stamp duty payable (if any) on the Deed of Termination, shall be borne and paid for by D’Kiara Place which is not expected to have a material impact on the financials of the Group.

Subsequent to the above, the Company will no longer proceed with the Proposed Disposals.
