The Board of Directors of YNH Property Bhd ("YNHP or the Company") wishes to announce that KSB, a wholly owned subsidiary of the Company, has on 2 April 2007 entered into a Memorandum of Understanding with THSB to purchase Nine Million Eight Hundred Seventy Thousand (9,870,000) fully paid ordinary shares in D'Kiara Place Sdn Bhd ("DKP") representing seventy per cent (70%) of the issued and fully paid shares of DKP ("Sale Shares").
DKP is the registered and beneficial owner of the freehold properties held under Geran Nos. 6145 and 6146 for Lots 1883 and 1884 respectively, both in Mukim Batu, Daerah Kuala Lumpur measuring a total of approximately 6 acres (collectively referred to as "the Development Land"). The intended development is for the construction and development of service apartments, office block, retail centre and auditorium with an estimated Gross Development Value of RM550 million.
The Development Land is strategically located within Mont' Kiara, Kuala Lumpur, besides McDonald outlet at PLAZA MONT' KIARA and opposite ONE MONT' KIARA. Development Order for the Development Land has been obtained and the development charges have been paid. The land has been converted into commercial land and all premiums have been paid. Most of the infrastructures are ready for connection.
The approved Development Order is for the proposed commercial development comprises:
i) 2 Blocks of 42 storey of Service Apartment (584 units), 6 storey of multi-storey car park, 4 storey of basement car park and 1 storey of basic facilities
ii) 1 Office block of 23 storey
iii) 1 block of 7 storey podium comprises 3 storey of retail centre and 4 storey of auditorium.
iv) 4 storey of basement car park
on Lot 1883 and 1884, Jalan Mont' Kiara, Mukim Batu in the City of Kuala Lumpur. The total floor area shall not be more than 1,538,770 sq ft at the plot ratio of 5.89 (excluding car park and hawker area)
The Sale Shares price will be agreed on by THSB and KSB with the non-binding advice of an independent reputable professional valuer to be jointly appointed by THSB and KSB.
Upon completion of KSB's acquisition of DKP from THSB, KSB shall share seventy per cent (70%) of the development results arising from the development and further resulting in DKP becoming a subsidiary of KSB.
